TERMS & CONDITIONS


SCOPE:
We are committed to providing consulting services to the extent of the issues described in the estimated fees proposal that will be sent to you, as well as any other future additional issues where our services would be provided. These terms and conditions are binding both for FJS and you and not for the members of your company. After finishing our services, we will not be obligated to provide advice regarding future regulatory development, so for any changes in the laws, regulations, or authorities of relevant decisions that may affect your rights and obligations, you would have to hire FJS to get future services and advisory services regarding any problem that may arise in the future as a result of those changes.


CONTRACTING PARTY

This Terms and Conditions contract is signed by FJS through its authorized representatives. Particularly all the documents such as binding sales offers, binding acknowledgments or orders, binding government or private tender documents, etc. can only be signed by a duly authorized representative of FJS.


DATA PROTECTION

We may collect, use, disclose, and process personal information otherwise provided by you to FJS, for the purposes which in summary include, but are not limited to the following: (a) providing services by us, as well as services provided by external or third parties; (b) managing your relationship with FJS; and (c) sending marketing, advertising, and promotional information about FJS ("Marketing Messages"), electronically to your email address (es). Whenever you want to unsubscribe from Marketing Messages, you may submit a request. Your personal data may/will be disclosed by FJS to its third-party service providers or agents which may be located outside of Argentina.


CONFIDENTIAL INFORMATION:

Both parties agree and undertake to keep strictly private and confidential all information related to the business, transactions, or affairs relating hereto and all information of a proprietary nature relating to both our businesses. FJS's services might not be protected by any type of client/advisor legal privilege and therefore you acknowledge we might be required to disclose any corporate or personal data requested by competent authorities under any applicable laws and regulations.


TERMINATION

You may terminate this contract on any or all matters at any time, with or without a reason. Your termination of our services will not affect your responsibility to pay for billed and unbilled services rendered or other charges incurred as of the date of termination. FJS may terminate this contract on any or all matters at any time.


LIMITATION OF LIABILITY:

FJS won’t be responsible if any of the services agreed on this contract fails to function due to the fact that the person in charge did not provide the information or assistance required or did not cooperate with FJS as previously required by FJS in order to being able to provide the services. In no event will FJS be liable for any claims by you or any third party for any special, indirect, incidental, or consequential damages of any kind and any way that might arise, including, without limitation, loss of business opportunities, profits, or revenues, whether or not the possibility of such damages or loss of opportunities, profits or revenues has been disclosed to FJS in advance or could have been reasonably foreseen by FJS. FJS's liability for any and all claims for direct damages will not, in any event, in aggregate exceed the fees (excluding the expenses) paid to FJS under these Terms & Conditions in the preceding six (6) month period. FJS's liability for all claims arising out of these Terms & Conditions (including, without limitation, claims to sound in contract, tort, or for breach of fiduciary duty) shall cease to exist after six (6) months from the date of: (i) substantial performance of work, or (ii) commencement of any statutory limitation period prescribed for the claims, whichever shall first occur, and following the expiration of such period, you will have no claim whatsoever against FJS. Your sole and exclusive remedy for any Claims against FJS concerning the services will be for FJS to refund to you a pro-rata amount of the Fees, excluding, for greater certainty, the Expenses, attributable to such the applicable service.

SEVERABILITY:
If any provision of these Terms & Conditions is held illegal or unenforceable, the remaining provisions will not be affected.
